Follow us on Google NewsSuper League shareholders have paved the way for Metaplanet’s largest Bitcoin expansion. The approved transaction will add 2,100 BTC to the company and $2.5 million in cash, which the company expects to rebrand as Superplanet in the future.
Metaplanet’s 2,100 BTC Deal Clears Shareholder VoteSuper League announced that shareholders approved every proposal presented at its October 16 annual meeting, including the strategic investment from Metaplanet.
At the closing of the deal, Metaplanet will donate $2,5 million in cash and 2,100 Bitcoins from its U.S. subsidiary to Sapperstone. Comparing the value of the Bitcoin was calculated at approximately $132.1 million at the August 14 price, but by the time of writing, it was about $170 million.
Metaplanet, in return, will acquire 44.86 million common shares valued at $3 per share, 100 shares of convertible perpetual preferred shares and long-dated warrants.
Following the transaction, Metaplanet will hold positions representing approximately 93.7% of the Company’s common shares based on Super League’s total shares outstanding as of September 29.

Five-Year Lock-Up Signals a Long-Term Bitcoin StrategyMetaplanet is required to hold a five-year lock-up period with respect to common shares for sale at closing and common shares that may be issued upon the exercise of warrants and preferred stock.
In addition, Metaplanet holds a governance right with their strategic preferred shares. Large issues, such as some changes to its charter, mergers and transaction of control, would require its consent.
The transaction is likely to close during the fourth quarter of 2026, subject to usual conditions and necessary upcoming filings with the Nasdaq.
Super League Will Become Superplanet With Nasdaq Ticker SUPAImmediately after the closing, Super League will become Superplanet, Inc., and will trade on the Nasdaq under the symbol SUPA.
It still has its advert and media business which will remain as it is, and it is developing a Bitcoin treasury strategy around the 2,100 BTC donation.
With the addition of the structure, Metaplanet also has a fully listed platform on the U.S. exchanges as well as the Tokyo Stock Exchange, providing access to both dollar and yen-based capital markets.

Warrants Could Unlock Billions in Additional CapitalIn addition to this, Metaplanet will also be granted warrants for 10 years with maximum 381 million common share warrants that will have an exercise price of $3 to $33.50.
Dylan LeClair, director of Bitcoin strategy at Metaplanet, told CFM Media that the warrants can be valued at a potential $3.4 billion in equity capital. Metaplanet also will withhold 100 percent of its funds for 24 months in the form of junior preferred stock.
Super League stockholders have approved every proposal at last week’s annual meeting, including:
✅ Issuance of common stock and warrants to Metaplanet
✅ Name change to Superplanet, Inc. ($SLE -> $SUPA)
✅ Increase in authorized preferred shares from 10m to 100m
At closing, Metaplanet will contribute 2,100 BTC + $2.5m USD in exchange for 44.86m common shares, 100 shares of Strategic Alliance Preferred Stock, and common stock warrants representing up to ~$3.4b of potential equity capital.
Based on the ~3.0m Super League shares outstanding as of September 29, Metaplanet would own ~93.7% of Superplanet’s common stock at closing. All shares to be held by Metaplanet are subject to a five-year lock-up.
The Strategic Alliance Preferred carries no preferred dividend or liquidation preference; its purpose is governance. While Metaplanet holds it, Metaplanet’s consent is required for charter amendments, mergers or changes of control, and designation of a board majority.
As outlined in the proxy, Superplanet intends to grow BTC per share primarily by issuing senior, non-convertible perpetual preferred stock rather than debt.
Metaplanet will also hold a 24-month right to subscribe for up to $210m of unlisted Junior Liquidity Support Preferred Stock. If issued, it would pay SOFR + 4.00% and rank junior to any senior preferred Superplanet may issue, allowing Metaplanet to provide subordinated capital in support of the balance sheet.
A new chapter begins soon. 🇺🇸🪐

Ramping up Bitcoin per share will be the main method for Superplanet to do so, rather than pushing traditional debt usage heavily, providing Metaplanet with a second lever to assess Bitcoin’s U.S. corporate strategy.
