The conflict shows that placing stock exposure onchain doesn’t necessarily mean that token holders acquire the same legal rights as traditional shareholders.

Another complaint is that unlike normal AMC shareholders, token creators don’t have voting rights or a direct stake in the company.
Robinhood has refused to “DECIST,” Gallagher replied in its X post. He also instructed AMC to dispatch Lawyers to him. The tensions between the two have since made the news, as Gallagher’s response was later backed by Robinhood CEO Vlad Tenev.

AMC Tokens Do Not Equal AMC SharesWhat remains to be determined is how Robinhood is setting up its tokenized stock products.
According to Robinhood’s documentation, its stock tokens are issued by Robinhood Assets (Jersey) Limited and represent a certain stock or ETF. The underlying shares are registered with a licensed custodian with our firm.
But possessing one of these tokens does not necessarily mean the investor is a shareholder of the referred company. The owners of tokens might have economic interest in that asset without having the voting rights of the original asset owners or a direct claim to the asset’s underlying business entity.
This distinction is crucial for investors in cryptocurrencies. However, tokenization can place financial exposure and transaction records onchain, rather than the blockchain’s laws creating the rights of being financial.
Tokenized Stocks Face a Regulatory TestThe AMC-Robinhood dispute comes as U.S. regulators examine how securities laws should apply to blockchain-based stock products.
Secured has distinguished between sponsors from the issuer offered and third party products that offer tokenized exposure to another company’s shares. In an issuer-backed scheme, a company or its representative can use blockchain infrastructure to record (or update) the ownership or shareholder register.
Third-party tokenized products may function differently, however, and could result in contractual rights that are vested against the token issuer, not the company being referenced in the stock.

A Bigger Fight Over Stock TokenizationThe AMC dispute does not establish that Robinhood violated U.S. securities laws. At the time of the dispute, there had been no enforcement action or court ruling taken against the product operated by AMC, or in favor of them.
As billions of dollars worth of stocks roll to blockchain-based infrastructure, how regulators and financial platforms will respond to those questions will dictate the future of tokenized equities.
